Practice Areas

Infrastructure and Project Finance - The firm supports clients in large construction and infrastructures projects. Adv. Sharon Adler, the department’s head, is a world-class expert, with longstanding and extensive experience in facilitating mega-projects, such as construction of road and toll-road, heavy and light rail, solar and conventional power plants, desalination facilities, large infrastructure and defense facilities. The firm has expertise in PPP, BOT and DB projects, as well as mega-projects. The firm provides its clients with comprehensive service throughout all stages of the project - RFT, fundraising, project planning and execution, operations, and ongoing correspondence and representation before government agencies, mega-corporations and sub-contractors. The firm advises on all aspects necessary for successful implementation: Tenders law, financing, concessions, contracts, risk management, commercial management, budget management, changes management, dispute resolution, arbitration and litigation (in Israel and abroad). The firm also handles military facility projects as part of the U.S. military’s foreign aid (COE Projects).

Litigation - Adv. Dror Harpaz, who has 25 years of experience, leads this department with an emphasis on inter-disciplinary dispute settlement. The department handles complex large-scale cases in courts and arbitration proceedings, for Israeli and international companies, in all civil-commercial fields, including: civil-commercial disputes, corporate, banking, securities, administrative, tenders, and labor law, insolvency, real-estate, IP, communica-tion law, contractors disputes, and class actions.

Some recent major cases include: defending the tender awardee in the Israel Railways electrification project, representation of Spain’s largest citrus company in a mega-arbitration against the Israeli Plant Production and Marketing Board and representation of the Spanish partner of the Ashdod Desalination Facility’s constructor in legal proceedings.

Commercial Law Headed by Adv. Eyal Oren, whose background as a high-tech entrepreneur provides him with in-depth commercial, technological and legal understanding. The department provides ongoing counsel and support for the clients’ entire legal needs, company establishment, founders’ agreements, investment facilitation, shares sale/purchase and assets transactions, IP commercialization, and real-estate transactions. The department believes in a holistic and multi-disciplinary approach that is characterized by collaboration between the firm’s senior lawyers in order to offer “out-of-the-box” solutions.

International Transactions & a Spanish Desk

The firm represents various foreign companies with existing or planned Israeli operations in the utilities, technology and defense industries. The firm has close ties with numerous entities in Spain, and its Spanish Desk handles leading Spanish companies in their Israeli operations. The Partners

Adv. Dror Harpaz - A Tel Aviv University graduate. He specializes in commercial litigation, international transactions, high-tech, utilities law, bio-tech and real-estate. He is an experienced litigator in local and international cases before all courts and in arbitration. He is also a certified mediator, who prefers out-of-court solutions to lengthy proceedings. He is also involved in financing and M&A transactions, real-estate transactions and more, and supports companies in their commercial operations, from their establishment and throughout their entire lifecycle.

Adv. Eyal Oren - Has an LL.B. and an LL.M. (Commercial Law), Tel Aviv University. In addition to his background as a high-tech entrepreneur, specializes in commercial law, high-tech, infrastructures, international transactions and IP. He is fluent in Spanish and leads the firm’s Spanish Desk. He is esteemed by numerous companies and businesspeople as someone who understands their challenges, and provides creative solutions. He counsels numerous Israeli and foreign companies and corporations, lectures in academic and other forums, and is a member of the Board of Israel-Spain Chamber of Commerce.

Adv. Sharon Adler - Has an LL.B. and an LL.M. (Corporate Law) from the Hebrew University, and over 20 years’ experience in construction and project law, project finance, infrastructure development and government RFTs. Supports Israeli and foreign clients throughout all of the projects’ stages, including finance, construction, risk management, dispute settlement, arbitrations, tenders, contracts and more. Facilitated and facilitates numerous mega-projects including the electrification of the Israeli Railway, the Cross-Israel Highway and the Ashalim thermo-solar power plant. A military judge in his reserves service and lecturer in the academy. Was ranked as one of the leading attorneys in the world in “Who’s Who Legal” 2017 and 2018 Construction Ranking.

Adv. Adiel Shulhani - Has an LL.B., B.A, Psychology; an M.B.A., Bar-Ilan University. He was admitted to the bar in Israel and in England. Has longstanding expertise in construction law and has been providing support to some of Israel’s largest construction projects. He is also experienced in communication, telecommunications, media and content procurement.

Adv. Etti Yanay-Nave - Has an LL.B. from the College of Management Academic Studies and over 18 years of experience in international and local commercial transactions, advising private and public companies in various industries. She specializes in complex M&A transactions, corporate funding, technology and knowledge sale, commercialization and licensing. She previously served as in-house General Counsel for a public company and head of the Commercial and Corporate Department at a leading law firm, and is a member of the M&A Committee of the Israel Bar Association, Tel-Aviv District.

Adv. Inbar Mackin - Has an LL.B., Bar-Ilan University, and an LL.M. (public law), Tel Aviv University and Northwestern University. She has longstanding expertise in Commercial and Administrative litigation, and has led and participated in many complex and large civil and administrative cases before magistrates’ courts, district courts and the Supreme Court and has great experience in many arbitration and mediation proceedings. In addition, she has extensive experience in municipal law.
