Investment Funds – Raveh Haber & Co. has one of Israel’s most active investment management departments. Senior members of the firm’s legal team have substantial experience in Israel and the US in tax and regulatory matters and are involved from the inception of the raising of each fund through the investment stage, taking into account all relevant legal considerations. The firm represents international “feeders” investing money in foreign funds, and Israeli funds investing in Israel or abroad, many institutional and non-institutional investors investing in Israel and abroad in funds, and other international partnerships including in the US, Germany, UK, Serbia, India, China, and Russia. Raveh Haber & Co. is also highly involved in co-investments and consortia. As part of its investment management practice, the firm is involved in the founding of managers for investment funds, including tax planning and inter-generational planning. The firm has a unique practice in representing public companies and institutional investors in joint investments in overseas commercial real estate assets. Representation includes investment structuring and relevant legal matters. The firm represents Big Commercial Centers, a public company that has acquired properties in India, the US, and Spain, mainly in joint investment deals worth over $1 billion. In the last year, the firm served as lead counsel in the formation of Noy 3 Infrastructure and Energy Investments Fund (which raised NIS 1.6 billion), the Yesodot 2 Real Estate Fund (which raised NIS 1 billion), the Electra Multifamily Investment Funds (1 and 2) (which raised a combined $350 million) and Israel Growth Partners 2 (which raised $230 million), as well as numerous institutional consortia for various co-investments. Taxes and Private Clients – The firm handles domestic and international tax matters and serves clients on all civil tax matters, including income tax and VAT matters. The department conducts many assessment proceedings with the Tax Authority, handles tax litigation, and has major experience in pre-ruling approvals and assessment agreements, and assists clients in procedures required for full diligence reporting. The department leads the market in all matters regarding tax consultancy to investment funds and managers about the funds’ structure and management bodies and planning investments for the funds’ managers themselves. The firm provides tax consultancy to investment funds it supports and international tax consultancy to clients in overseas real estate investments – consultancy requires working closely with foreign consultants and sometimes obtaining approvals from the Israel Tax Authority. The department advises the firm’s private clients and represents Israel’s senior managers in their employment agreements, including with respect to tax matters, with an emphasis on international tax. The department also handles tax litigation, mainly on legal subjects involving international tax or highly complex legal matters.
Adv. Gil Raveh – Specializes in taxation, investment funds, and international partnerships, and representing senior executives. He forms investment funds, represents international “gatekeepers” operating in Israel, and represents Israeli investors in international partnerships, especially in real estate. Gil specializes in tax consultancy to investments funds and managers representing wealthy private investors, and many senior Israeli executives, including foreigners in Israel with activities at Israeli companies, their employment agreements and related tax matters. He has an LL.B. and BA in Economics from the Hebrew University and LL.M. (Cum Laude) Georgetown University, Washington D.C. He worked in New York at the leading firms Sherman and Sterling, and Skadden, Arps, Slate, Meagher & Flom. He is one of Israel’s leading tax and investment fund lawyers and regularly appears in the Legal 500 Guide for Israel, Chambers and Who’s Who for Private Funds as a “Leading Practitioner.”
Adv. Miriam Haber – Forms investment funds and represents institutional investors and investors in Israeli and overseas funds. She has major experience in setting up and representing institutional and non-institutional co-investment consortia, including those requiring complex negotiations with financial institutions providing leverage and guarantees to the consortia and their investment entities. She also has significant experience forming “feeders” and other investment entities through which Israeli investors invest in non-Israeli real estate projects. She has an LL.B. (cum laude) from Columbia University and worked in New York and London for the leading firm Davis, Polk and Wardwell, and in New York for Schulte, Roth and Zabel. She is known in Israel as an expert in private investment funds and is named in the Legal 500 Guide for Israel, Chambers and Who’s Who for Private Funds as a leading private funds lawyer in Israel.
Adv. Yuval Arad – is a partner in the firm’s private equity department. Has garnered extensive professional experience, including, inter alia, leading legal aspects of formation and ongoing activities of private investment funds of various types, legal representation of both public institutions and private individuals in their investments in Israel and abroad, assessment of Israeli regulation with regard to the various activities conducted by the firm’s clients, legal advice on matters relating to anti-money laundering, as well as advice to international gatekeepers in their Israeli operations. Yuval also has special expertise in the representation of Israeli institutional investors in their real estate venture investments in the United States, with a particular emphasis on joint venture agreements, asset and property management agreements and certain aspects of the financing associated with such transactions. She has an LL.B and a BA in Government, Strategy, and Diplomacy from the Interdisciplinary Centre Herzliya.
