BGR - Law Office is a boutique law firm specializing in non-bank financing, while representing several prominent non-bank credit companies operating in different credit segments, including real estate, check-based credit, automobiles, business credit, and consumer credit.
The firm was established in 2021 by founding partners, Adv. Shay Butbul Gilboa and Adv. Itay Ram, both formerly legal counsels in one of Israel’s largest non-bank credit companies’ legal departments.
The Firm’s Activity
The firm is rapidly growing and currently represents over 20 non-banking companies and funds, including: Altshuler Shaham, Mimun Yashir, Credito, Michman Maimon, Carmel Credit, Toam Finance of the ETGA Group, and more, in financing transactions, syndication, and purchase/sale of credit portfolios.

Financial Regulation
The firm provides comprehensive legal support on all stages and aspects of complex and elaborate finance transactions, including due diligence for mortgaged assets, drafting loan and financing agreements, contractual agreements between various credit entities, consultation on unique financing transactions, collateral attachments registration in all types of registers, etc.
Litigation and Insolvency
The firm represents finance companies during debt collection and enforcement of procedures, realization of collateral attachments and receivership, as well as in formulating a strategy for handling debtors for the purpose of debt collection and realization.
Human Capital
The firm’s team includes two partners and five lawyers, who bring with them their experience and knowledge gained by working for top-tier Israeli law firms and as legal counsels to non-bank credit companies and funds. This accumulated experience is a significant added value for the firm’s clients.

Adv. Shay Butbul Gilboa, Founding Partner
Adv. Butbul Gilboa handles the fields of finance, real estate, and commercial law. He is experienced in the field of finance, thus, he is able to advise non-bank credit companies, draft contractual arrangements that are the basis for his clients’ credit activities, supporting and managing complex negotiations in financing transactions, refinancing, support during construction processes, short-term financing, short-term loans, assets and other collateral attachments, and supporting transactions between financing entities (joint ventures, syndication, and purchase/sale of credit portfolios), while bringing forth deep legal and commercial understandings of these types of transactions.
Adv. Butbul Gilboa holds a broad commercial understanding and practical approach, enabling him to come up with innovative solutions adapted to the complexity of the various transactions and the specific needs of his clients. His approach assists his clients to better face regulatory and business challenges.
Adv. Itay Ram, Founding Partner and Managing Director
Adv. Ram holds extensive expertise in the fields of finance, real estate, and commercial law. He is uniquely and profoundly familiar with the field of real estate transactions financing, including consulting on credit committees, preparing loan agreements, drafting contractual agreements, and performing legal underwriting of real estate collaterals. Adv. Ram focuses on creating cutting-edge and professional solutions in his field, while maintaining his clients’ business and legal interests.
He was previously a legal advisor for a large and well-known credit company. The knowledge and experience he gained enables him to lead and support complex transactions, while negotiating on elaborate and significant commercial transactions at the same time. Adv. Ram is able to consider his client’s needs and risks, while understanding that the unique characteristics of the market in which he operates are of crucial importance with regard to the nature of the legal advice required.
