Capital Markets & Securities Regulations Department

Our firm provides legal services to various public companies, traded in the Tel Aviv Stock Exchange. As such the firm handles public offerings and private placements of issuers in Israel. The firm provides ongoing legal services to our clients in all aspects of corporate law, commercial transactions, securities regulations and corporate governance, and handles our clients’ ongoing representation with the Israeli Securities Authority and the Tel Aviv Stock Exchange, including the submittal of the different reports required. In this capacity, the firm handled the public offerings and registration with the Tel Aviv Stock Exchange of various issuers. In addition, the firm has been handling numerous debt offerings, shelf registrations, private placements of various types of securities and registration of securities with the stock exchange.
During 2022 the firm’s capital markets and securities regulations department expanded its scope of activities by adding a significant number of new and prominent clients, while making several noteworthy moves, including the innovative strategy of separating one public company (Dorsel) from another public company (Synel). Over the last three decades, the firm accompanied many companies and investors in the capital market, and was involved in notable transactions, capital raisings, and legal proceedings concerning the Israeli capital market.

Adv. Ronen Zitvar, Founding Partner
Admitted to the Israeli Bar in 1991. Specializes in capital markets and securities law, corporate law, commercial law, mergers and acquisitions and commercial litigation. Ronen is one of Israel’s leading experts in capital markets and securities and possesses a vast experience in handling complicated large-scale transactions that involve issues of securities and Israeli and foreign traded corporations.
Ronen Holds LL.B degree from Tel Aviv University School of Law (1990) and LL.M degree majoring in commercial law from Tel Aviv University, in collaboration with Berkeley University of California (summa cum laude, 2006).
Ronen is a member of the Securities and Capital Markets Committee of the Israeli Bar Association.

Adv. Yaacov Galor, Founding Partner
Admitted to the Israeli Bar in 1992. Practiced in the past in one of Israel’s leading law firms. Specializes in various aspects of business and commercial law, including corporate law, mergers & acquisitions, real estate and tenders. Significantly engages in dispute resolution and litigation, including class actions. Possesses extensive experience in handling large-scale commercial transactions, especially involving real-estate in Israel and abroad, and in handling complicated commercial disputes in different courts and in arbitration procedures. Kobi holds an LL.B degree from Tel Aviv University School of Law (1991) and LLM majoring in commercial law from Tel Aviv University in collaboration with Berkeley University of California (summa cum laude, 2008)

Adv. Zohar Hadar, Partner
Zohar specializes in capital markets and securities law, corporate and commercial law, mergers and acquisitions, communication, and start-up companies. Zohar holds graduated from Tel Aviv University School of Law (LL.B, 1993) and is a member of the Israeli Bar Association since 1994. Prior to joining the firm, Zohar practiced as an associate at Herzog, Fox and Neeman (one of Israel’s leading law firms), and at Ron Gazit, Rotenberg & Co. Zohar has also served as an in-house legal counsel to Keshet, one of the Israeli major television broadcasters.

Adv. Orly Vinik-Caspi, Partner
Orly is a practicing lawyer since 1998, joined the firm as a partner in 2023. Orly specializes in multiple aspects of business and commercial law, including corporate law, securities, mergers and real estate. She has extensive experience in corporate M&A, as well as in the planning and execution of complex real estate transactions. Orly’s track record includes leading investment and purchase transactions of industrial companies by foreign funds and public companies, purchase and sale transactions of companies, acquisition of activities and mergers, purchase of commercial real estate and ongoing advisory to boards and management of public companies.
Orly holds an LL.B from the Hebrew University, Jerusalem (1998) and an LL.M, Magna Cum Laude in commercial law from the Tel Aviv University (2004). She is currently studying for an additional degree in psychology at Tel Aviv University.
