Main Areas of Expertise
Companies and Commercial Law; Mergers and Acquisitions; Technology: The legal advice in this framework encompasses diverse corporate and commercial issues, such as establishing partnerships, companies, funds, joint ventures, providing opinions and handling transactions. The Firm deals with drafting agreements for the purchase of companies and investment in them, mergers, knowledge transfers, distribution, agencies, licenses for technology transfer, marketing, etc. In addition, the Firm handles the legal affairs of leading local and international companies and their representatives in Israel.
Real Estate: The Firm’s real estate department is one of the largest and most experienced among law firms in Israel and is involved in a wide range of large and complex projects, including residentials, office towers, shopping malls, hotels, industrial and science office parks, infrastructure, BOT and accompanying real estate transactions abroad. The Firm accompanies projects throughout all stages: the acquisition of the rights to the land, planning and licensing procedures, construction, drawing up the agreements for the marketing of completed buildings, and more. The Firm also specializes in financing real estate transactions, representing entrepreneurs in purchasing land and financial support agreements, and representing several of the largest banks in Israel that finance real estate activities.
Urban Renewal: The Firm accompanies various urban renewal projects by representing entrepreneurs, tenants, and accompanying banks in these projects. The Firm’s professional staff’s cumulative experience provides significant added value to tenants and entrepreneurs in urban renewal projects.
Planning and Construction: The Firm accompanies first-class entrepreneurs in the initiation of city building plans for housing, employment, and hotels all over the country, from the stage of drafting the strategies to issuing construction permits, including representation in all planning committees, at the local authorities and in the framework of legal proceedings.
Litigation: The Firm represents significant clients from Israel and abroad. The Firm specializes in complex litigation in the fields of civil and commercial law, accompanying and managing international litigation, banking, securities, real estate, Infrastructure and construction, companies, and business licensing, including class and derivative suits, with particular expertise in complex class and derivative claims in the area’s banking and securities. In addition, the Firm handles all facets of administrative petitions and tender laws.
Capital Markets and Banking: The Firm has extensive experience in public and private offerings and representing issuers, including banks and major entities. The Firm has a unique specialization in legal advice concerning the regulation of managing a stock exchange in Israel. This framework accompanied the dedicated legislation procedure to change the structure of the stock exchange and its implementation in the Tel Aviv Stock Exchange. The Firm even set another legal and business precedent when in 2019, it represented the stock exchange in its first IPO. The Firm deals with transactions such as mergers and acquisitions, private placements and financing agreements, prospectuses, compensation plans, consulting on corporate governance issues for public companies, and representation before regulatory bodies. In the banking field, the Firm provides services to local and foreign banks, institutions, and financial entities in all areas of banking activity. In this regard, the Firm is active in the field of bank licensing, the field of regulation, as well as in corporate governance in banks.
Labor Law: The firm represents one of the largest commercial companies in the economy in the fields of hotels, construction, hi-tech, retail industry and more. The firm has extensive experience in ongoing legal advice to corporations for all of the firm’s clients, in almost every possible employment sector, in all legal and organizational issues that regularly arise with their employees, including employee rights, social rights, dismissals and resignations, holding hearings, preparing employment contracts, retirement agreements, documents Commitment and legal documents, consulting and establishment of a complaint investigation system regarding sexual harassment and harassment and implementation of regulatory compliance systems.
