Mergers & Acquisitions
We regularly represent domestic and intentional acquirers, targets, and boards of directors and shareholders of target companies in all aspects of M&A transactions, including mergers, stock and asset acquisitions, restructuring and divestitures and joint ventures, in all its stages, including structuring, due diligence, negotiation of transaction documents and closing mechanics.

High Tech and Venture Capital
Our high-tech and VC work is equally divided between representing companies and investors. We represent founders and high-technology companies, from emerging start-ups to unicorns in their foundation, operations, raising capital from seed to advanced financing rounds, commercial growth and exit. We represent domestic and international venture capital funds and angel investors in their investments.
Our clients include top-tier VC funds, corporate funds, angel investors, accelerators, multi-billion-dollar corporations and cutting-edge start-ups. Our close industry ties allow us to seamlessly navigate our clients through complex financings and provide swift and creative solutions to any issues that arise.

We handle all forms of tech financings: Equity, convertible notes, SAFEs and other convertible instruments, venture lending and transactions.

General Corporate
We provide our client with a one-stop shop for all corporate related work, acting as outside general counsel – granting them accompaniment in their ongoing legal requirements from formation through exit, including company registration, founders and shareholder agreement, employee and their benefits, equity incentive plans, commercial agreements, corporate housekeeping and corporate governance matters.

IP, Privacy and Data Protection
We work closely with our clients in commercialization of their IP and their products’ sale. We have extensive experience in structuring technology transactions, negotiating and drafting various IP related agreements, including development, licensing, distribution, marketing and support and maintenance agreements (including OEM and VAR).
We advise our clients in exploiting and protecting their IP rights, including know-how developed by employees and consultants and applicable negotiations with academic and research institutions.
We also assist our clients with the preparation of terms of use, terms and conditions, privacy policies and data protection and compliance issues, including GDPR compliance.

Rafi is a Founding Partner at Raz, Dlugin & Co.
Rafi’s practice focuses on cross boarder M&A transactions, corporate finance and commercial transactions. Rafi specializes in a broad spectrum of areas, including financing, IP and licensing, privacy and GDPR, strategic corporate establishment and much more. With past experience as a high-tech partner in one of Israel’s leading law firms, his clients include top-tier international VCs, multi-billion-dollar companies, cutting-edge start-ups, and top angel investors.
Rafi works closely with his corporate clients assisting with day-to-day legal and business issues and has counselled companies and founders from inception to becoming market leaders.

Adv. Ran Dlugin
Ran is a Founding Partner at Raz, Dlugin & Co.
With years of practicing law as a New York attorney at a leading international firm and subsequently at one of Israel’s largest firms, Ran has handled countless financing and M&A transactions. Ran’s practice focuses on transactional work including cross-border M&A, VC financings, joint ventures and complex business transactions. Ran assists his clients with their ongoing business activities and general corporate governance matters. Ran’s clients include leading VCs, start-ups and multi-national corporations.

Michal is a Partner at Raz, Dlugin & Co.
Michal’s practice focuses on complex fund raisings, cross border mergers and acquisitions, tech-oriented corporate and commercial transactions. Michal guides her clients in complex IP transactions and employment matters. She has a diverse practice representing acquirers and targets in cross-border M&A transactions, as well as companies and investors in VC financings.
